Buyer shall enter into and execute purchase agreement within 24 hours of auction closing.

Non-Refundable Deposit: $10,000 due within 24 hours of auction closing byt cashiers check or wire transfer (with executed purchase agreement)

SECTION 1: UNDERSTANDING HOW THIS AUCTION WORKS

1.1 Real Estate Sells w/ Owners Confirmation. High bidder will be notified by phone within 2 hours of auction close to discuss if seller accepts the high bid amount.

1.2 Online Bidding Format

Bidding is open and transparent – all bidders can view current bid amounts and bid history

If you are outbid, you will receive an email notification so you can return and place a higher bid if desired

Bidding increments are at the discretion of the Auctioneer and may be adjusted as bidding progresses

1.3 Auto-Extend Feature

As the auction approaches 6:00 PM on August 23, the auction will automatically extend if bids are placed in the final 3 minutes. Each bid placed in the final 3 minutes will extend the auction by an additional 3 minutes from when that bid was placed. This continues until bidding is silent for 3 minutes.

1.4 Tie Bids

If two or more bidders submit identical high bids, the bid that was submitted first will be honored as the winning bid.

1.5 High Bidder Notification

The high bidder will be notified via email & phone within 2 hours after the auction closes regarding the acceptance or rejection of their bid. Then will be required to enter into purchase agreement and deliver non refundable deposit if they are the winning bidder by 5:00 p.m. on Monday August 24, 2026

SECTION 2: YOUR RESPONSIBILITIES AS A BIDDER

2.1 Property Inspection – DO THIS BEFORE BIDDING!

2.2 Complete Your Due Diligence

CRITICAL: You must complete ALL due diligence BEFORE the auction closes, including:

Financing arrangements

Title review

Any other investigations you deem necessary

The purchase contract will contain NO contingencies. Once you are the winning bidder and your bid is accepted, you are committed to purchasing the property.

2.3 Financing – Important Notice

SECTION 3: IF YOU ARE THE WINNING BIDDER

3.1 Contract Execution by 5:00 pm EDT on Monday August 24, 2026

The winning bidder must execute the Purchase Agreement by 5:00 pm EDT on Moday August 24, 2026 of notification that their bid has been accepted. The contract will be sent electronically via email or buyer can come to auction company office and must be signed and returned promptly.

3.2 Non-Refundable Deposit of $10,000 usd in the form of wire transfer or cashiers check.

A non-refundable deposit of $10,000 must be submitted by 5:00 pm EDT on Monday August 24, 2026 The deposit may be in the form of:

Cashier’s check

Wire Transfer

Deposit shall be made payable to Huber Auction Group, LLC and will be held in Huber Auction Group, LLC’s escrow account.

3.3 Understanding the Total Purchase Price

Your Final Purchase Price = Your Winning Bid + 10% Buyer’s Premium

Example: If you win with a bid of $300,000:

Winning Bid: $300,000

Buyer’s Premium (10%): $30,000

Total Purchase Price: $330,000

3.4 Balance Due at Closing

The balance of the purchase price (Total Purchase Price minus Non-Refundable Deposit) is due in cash at closing, which will occur within 30 days of the auction closing date.

SECTION 4: PROPERTY CONDITION & DISCLOSURES

4.1 “AS-IS, WHERE-IS” Sale

This property is sold in its current condition, “AS-IS, WHERE-IS,” as of the date and time of the auction closing. This means:

No repairs will be made by the Seller

The Seller makes no warranties about the condition of the property

You accept the property in whatever condition it is in at closing

Personal Representatives have not lived in home for years

4.2 No Warranties

Neither the Seller, Huber Auction Group, LLC, nor their agents, employees, or representatives make any expressed or implied warranties of any kind concerning:

Physical condition of the property

Condition of structures, systems, or appliances

Fitness for any particular purpose

Zoning or permitted uses

Environmental conditions

Accuracy of square footage, acreage, or property descriptions

Septic System has issues and will likely need replaced

4.3 Lead Paint Disclosure

If the residential structure was built before 1978, the winning bidder acknowledges receiving the Lead Paint Hazard Disclosure Statement and waives the opportunity to conduct a risk assessment or inspection for the presence of lead-based paint under Federal law.

4.4 Information Accuracy

All information provided in auction materials has been obtained from sources deemed reliable but is not guaranteed. All dimensions, acreage, square footage, and descriptions are approximate. You must verify all information independently.

SECTION 5: CLOSING DETAILS

5.1 Closing Timeline

Closing must occur on or before 30 days from the auction closing date at Attorneys Title Agency in Greenfield, IN 46140.

5.2 Type of Deed

The Seller shall provide a General Warranty Deed, free of encumbrances except as noted in these terms.

5.3 Title Insurance

The Seller shall provide title insurance in the amount of the purchase price.

5.4 Survey

There shall be no survey provided. The property is sold subject to any and all easements of record.

5.5 Property Taxes

Real estate taxes will be prorated as of the day of closing. Any back taxes or rollback taxes are the responsibility of the Seller and will be paid at or before closing.

5.6 Possession

Possession of the property will be granted at closing.

5.7 Buyer’s Closing Costs

The Buyer is responsible for:

One-half of closing fees

Documentary stamps and transfer taxes

Recording fees

Any costs related to their financing

Title insurance premium

Other individual closing costs

SECTION 6: DEFAULT & REMEDIES

6.1 Failure to Execute Contract or Provide Deposit

If the winning bidder fails to execute and return the Purchase Agreement and provide the $10,000 non-refundable deposit by 5:00 pm edt on Monday August 24, 2026 , they will be considered in DEFAULT.

6.2 Default Consequences

If the Buyer defaults on their obligations:

The non-refundable deposit of $10,000 shall be forfeited to the Seller

The auction sale will be terminated

An administrative fee of $2,500 may be charged

The Buyer may still be liable under Indiana law for additional damages to the Seller

Huber Auction Group, LLC and the Seller reserve all additional legal remedies

6.3 All Sales Are Final

Once your bid is accepted and you execute the Purchase Agreement, the sale is final and binding. There are no cancellation rights.

SECTION 7: AUCTIONEER’S RIGHTS & AUTHORITY

7.1 Auctioneer Discretion

Huber Auction Group, LLC reserves the right to:

Withdraw the property from sale prior to the start of bidding

Reject any bid that is nominal or may negatively affect the auction process

Determine the successful bidder in the event of a dispute between bidders

Re-offer the property if a dispute cannot be resolved

Set or adjust bidding increments as the auction progresses

Accept telephone bids from registered bidders

Preclude any person from bidding if there are questions about their credentials or fitness to bid

7.2 Final Authority

All decisions of the Auctioneer are final. The conduct of the auction and all bidding matters are at the direction and discretion of the Auctioneer.

SECTION 8: LEGAL PROVISIONS

8.1 Jurisdiction

By bidding in this auction, you consent to the jurisdiction of the State and Federal courts of the State of Indiana.

8.2 Limitation of Liability

Huber Auction Group, LLC assumes no responsibility for:

The condition of the property

The Seller’s performance of the Purchase Agreement

Internet or technical failures affecting online bidding

The Seller’s failure to honor the winning bid or close the transaction

In no event shall Huber Auction Group, LLC or the Seller be liable for any consequential damages.

8.3 Buyer’s Representation

By participating in this auction and signing the Purchase Agreement, the Buyer represents and warrants that:

They have not relied on any statements, representations, or warranties by the Auctioneer or Seller that are not contained in the written Purchase Agreement

They have conducted their own independent investigation of the property

They have the financial ability to complete the purchase

The decision to bid and purchase is their sole and independent business decision

SECTION 9: REAL ESTATE BROKER PARTICIPATION

9.1 Broker Commission

A commission of 3% will be paid to licensed real estate agents/brokers who meet ALL of the following requirements:

Accompany their buyer/client to the oprn house and notify showing host of representation of buyer and complete Broker registration form.

Conduct a private, scheduled showing of the property

Register their client using the Broker Registration form BEFORE the client inspects the property

Ensure the Broker Registration form is received by Huber Auction Group, LLC – it is the broker’s responsibility to confirm receipt

Not represent a client who has previously contacted Huber Auction Group, LLC or been contacted by Huber Auction Group, LLC

Assist their client in the online bidding process

Work with their client throughout the closing process

Not participate as a principal buyer (the broker or their family/firm cannot be the buyer)

9.3 Commission Payment

Commissions are paid ONLY upon successful closing

No commission is due if the closing does not occur

There are no exceptions to these procedures

Verbal agreements will not be accepted

All commissions are paid at settlement at title company by the title company

No commission is paid if the buyer is the broker, brokers firm or a family member of the broker is the buyer
